Welcome to www.tridentflyfishing.com. The www.tridentflyfishing.com website (the “Site”) is comprised of various web pages operated by Leisure Tech, Inc. dba Trident Fly Fishing (“Trident”). www.tridentflyfishing.com is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of www.tridentflyfishing.com constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference. www.tridentflyfishing.com is an E-commerce Site. The purpose of the Site is to sell fishing equipment, clothing, and accessories.

Privacy

Your use of www.tridentflyfishing.com is subject to Trident’s Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

Electronic Communications

Visiting www.tridentflyfishing.com or sending emails to Trident constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.

Your Account

If you use this Site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that Trident is not responsible for third party access to your account that results from theft or misappropriation of your account. Trident and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion. Grounds for refusing or cancelling service or terminating an account include, without limitation, return abuse or fraud, chargeback abuse, payment fraud, and abuse of promotions, rewards, or referral programs, which may also result in forfeiture of any associated rewards or credits.

You must be at least 13 years of age to use the Site. If you are under 18 years of age (or the age of legal majority where you live), you may use the Site only under the supervision of a parent or legal guardian who agrees to be bound by these Terms. Trident does not knowingly collect personal information from persons under the age of 13.

Terms of Sale

Pricing and Availability. All products are subject to availability, and we reserve the right to impose quantity limits on any order, or to reject or cancel all or part of an order, without prior notice. Prices are subject to change at any time. In the event of a pricing or typographical error, we reserve the right to correct the error and revise your order accordingly (including by charging the corrected price), or to cancel the order and refund any amount charged, even after an order has been submitted or confirmed.

Payment. Only valid payment methods acceptable to us may be used to complete a purchase. You represent and warrant that you are authorized to use the payment method you provide. You authorize us to charge your payment method for the total amount of your order, including any applicable taxes and shipping and handling charges.

Shipping and Risk of Loss. You agree to pay any shipping and handling charges shown at the time of purchase. Any delivery dates or times shown during checkout are estimates only and are not guaranteed. Unless we state otherwise in writing, risk of loss or damage to a product passes to you upon delivery of the product to the carrier.

Returns and Refunds. If you’re not completely satisfied with your purchase, unused items in original, sellable condition with all original packaging and manufacturer tags attached may be returned within 30 days of delivery, with proof of purchase, for a refund to the original method of payment. Proof of purchase includes an order number, packing slip, or order confirmation.

Used or worn items, items missing original packaging or tags, and items returned without proof of purchase may be refused, or accepted in our discretion for a partial refund or store credit, less any applicable restocking fee. We will not accept the return of items that are dirty, damaged, or used beyond what is reasonably necessary to evaluate fit or function.

Return shipping costs are the responsibility of the customer unless the return is the result of our error or a defective product. Where we provide a prepaid return label, the cost of the label will be deducted from the refund issued.

Certain items are final sale and are not eligible for return, including flies, tippet, leader, backing, and other consumable terminal tackle; items marked “final sale” or “closeout”; and gift cards. Whether an item is eligible or ineligible for return will be identified on the applicable product page.

Return Abuse and Fraud. Trident monitors return and exchange activity to identify misuse, abuse, or fraud. Where we identify a pattern of behavior inconsistent with this policy, we reserve the right, in our sole discretion, to limit, decline, or refuse returns, exchanges, or refunds; to refuse or cancel current or future orders; and to charge the payment method on file for losses resulting from fraudulent returns or chargebacks. This includes, without limitation, excessive returns, returns of used or worn merchandise, wardrobing, returns without proof of purchase, and returns associated with fraudulent or unauthorized payment.

Certain services made available via www.tridentflyfishing.com are delivered by third party sites and organizations. By using any product, service or functionality originating from the www.tridentflyfishing.com domain, you hereby acknowledge and consent that Trident may share such information and data with any third party with whom Trident has a contractual relationship to provide the requested product, service or functionality on behalf of www.tridentflyfishing.com users and customers.

No Unlawful or Prohibited Use / Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use www.tridentflyfishing.com strictly in accordance with these terms of use. As a condition of your use of the Site, you warrant to Trident that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. Trident content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use, and will make no other use of the content without the express written permission of Trident and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of Trident or our licensors except as expressly authorized by these Terms.

Product Reviews and Submissions

The Site may allow you to submit content, including product reviews, ratings, comments, photos, and other materials (collectively, “Submissions”). You are solely responsible for your Submissions and the consequences of posting them. By making a Submission, you represent and warrant that you own or otherwise control all rights to your Submission, that it is accurate, that it reflects your honest views and experiences, and that it does not violate these Terms or any applicable law or the rights of any third party.

You agree that you will not submit any content that: is unlawful, defamatory, libelous, obscene, pornographic, harassing, threatening, or invasive of privacy or publicity rights; infringes any patent, trademark, trade secret, copyright, or other intellectual property right; impersonates any person or entity or misrepresents your affiliation with any person or entity; fails to disclose any material connection you may have with us or a third party in connection with a review; contains unsolicited promotions, advertising, or solicitations; contains the private or personal information of a third party without consent; or contains viruses or other harmful code.

Trident does not claim ownership of your Submissions. However, by making a Submission you grant Trident, our affiliated companies and necessary sublicensees a perpetual, irrevocable, non-exclusive, royalty-free, worldwide, fully-paid, and sub-licensable license to use, copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, reformat, and create derivative works from your Submission, and to publish your name in connection with your Submission, in connection with the operation of our business and through all media now known or later developed. No compensation will be paid with respect to the use of your Submission. Trident is under no obligation to post or use any Submission and may remove any Submission at any time in our sole discretion. Trident has no obligation to monitor Submissions but reserves the right to review and remove any Submission, and to terminate your access to make Submissions, at any time and for any reason without notice.

Copyright Complaints (DMCA)

Trident respects the intellectual property of others and has a policy of removing Submissions that infringe the rights of others and, in appropriate circumstances, terminating the accounts of repeat infringers. If you believe that material on the Site infringes a copyright you own or control, you may notify Trident’s designated agent in writing with the information required under 17 U.S.C. §512(c)(3), including: a physical or electronic signature of the copyright owner or authorized agent; identification of the copyrighted work claimed to be infringed; identification of the material claimed to be infringing and information sufficient to locate it; your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on the owner’s behalf.

Third Party Accounts

You will be able to connect your Trident account to third party accounts. By connecting your Trident account to your third party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third party sites). If you do not want information about you to be shared in this manner, do not use this feature.

International Users

The Service is controlled, operated and administered by Trident from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the Trident Content accessed through www.tridentflyfishing.com in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

Customers in the European Union and United Kingdom

If you are a consumer located in the European Union or United Kingdom, you may have a statutory right to withdraw from your purchase within 14 days of receiving the goods, without giving a reason, in accordance with applicable law. This right is in addition to, and does not limit, the return rights described in our Returns and Refunds policy above. Indemnification

You agree to indemnify, defend and hold harmless Trident, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Trident reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Trident in asserting any available defenses.

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. TRIDENT FLY FISHING AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.

TRIDENT FLY FISHING AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. TRIDENT FLY FISHING AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRIDENT FLY FISHING AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF TRIDENT FLY FISHING OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

To the maximum extent permitted by applicable law, the total liability of Trident and its suppliers for any claim arising out of or relating to any product purchased through the Site will not exceed the greater of $100 or the purchase price of that product. For all other claims arising out of or relating to these Terms or the Site, the total aggregate liability of Trident and its suppliers will not exceed $100. These limitations will not limit or exclude liability for personal injury or property damage caused by a product, or for fraud, gross negligence, or willful misconduct, or for any other liability that cannot be excluded or limited under applicable law.

Dispute Resolution; Binding Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have disputes heard by a jury.

Informal resolution first. Before initiating any arbitration or court proceeding, you agree to first contact us at [email protected] with a written description of the dispute and the relief you seek, and to give us sixty (60) days to attempt to resolve it informally. Most disputes can be resolved this way.

Agreement to arbitrate. If we cannot resolve the dispute informally, you and Trident agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site (a “Claim”) will be resolved by binding individual arbitration, rather than in court, except that you may assert Claims in small claims court if your Claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this provision.

Arbitration procedure. The arbitration will be administered by a recognized arbitration provider agreed upon by the parties, under its consumer arbitration rules then in effect. The arbitrator’s award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. You and Trident agree that each may bring Claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate or join the claims of other persons and may not preside over any form of a consolidated, representative, or class proceeding.

Jury trial waiver. You and Trident waive any right to a jury trial of any Claim.

Opt-out. You may opt out of this arbitration provision by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. If you opt out, neither party will be bound by the arbitration and class-action-waiver provisions of this section.

Limitation period. Any Claim arising out of or relating to these Terms or the Site must be commenced within one (1) year after the Claim accrues; otherwise it is permanently barred, to the extent permitted by applicable law.

Severability. If the class action waiver above is found unenforceable as to a particular Claim, that Claim (and only that Claim) will be severed and may proceed in court; the remainder of this section will remain in effect.

Termination / Access Restriction

Trident reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Maine and you hereby consent to the exclusive jurisdiction and venue of courts in Maine in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Trident as a result of this agreement or use of the Site. Trident’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Trident’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Trident with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Trident with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Trident with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties that this agreement and all related documents be written in English.

Changes to Terms

Trident reserves the right, in its sole discretion, to change the Terms under which www.tridentflyfishing.com is offered. The most current version of the Terms will supersede all previous versions. Trident encourages you to periodically review the Terms to stay informed of our updates.
